Clients must provide accurate business information, approvals, access credentials, brand assets, content, project requirements, and feedback within agreed timelines. Clients are responsible for ensuring they have the rights to any logos, text, images, videos, data, account access, and third-party materials supplied to ValueX Digital.
Payment terms, milestones, retainers, taxes, and billing schedules will be stated in the applicable proposal, quotation, invoice, or agreement. Work may begin only after the agreed advance or confirmation is received. Delayed payments may pause delivery timelines, campaign management, production work, development work, or support services.
Project timelines depend on timely client approvals, content sharing, platform access, and feedback. Revision rounds are limited to the scope agreed for the project. Additional changes, new requirements, urgent timelines, or out-of-scope work may require additional fees and revised delivery dates.
Many services depend on third-party platforms such as Google, Meta, YouTube, WhatsApp, hosting providers, payment gateways, CRMs, APIs, and advertising networks. We are not responsible for policy changes, account restrictions, platform outages, approval delays, ad disapprovals, algorithm changes, verification issues, or other actions controlled by third-party platforms.
Client-provided materials remain the property of the client or their respective owners. Unless agreed otherwise, final approved deliverables created and paid for under a project may be used by the client for their business. Drafts, rejected concepts, internal processes, templates, code libraries, tools, know-how, and reusable frameworks remain the property of ValueX Digital.
Unless a client requests confidentiality in writing, ValueX Digital may display completed work, campaign summaries, brand names, screenshots, public results, and creative samples in its portfolio, proposals, case studies, social media, and marketing materials.
We will take reasonable care to protect confidential client information shared with us for service delivery. Confidential information does not include information that is public, independently developed, already known, or required to be disclosed by law, regulation, or platform process.
We work to deliver professional services and measurable improvements, but we do not guarantee specific rankings, leads, sales, revenue, viral reach, ad approvals, or platform outcomes. Marketing and digital performance depend on market conditions, competition, budget, offer quality, audience behavior, platform policies, and client-side follow-up.
Either party may end a service engagement according to the cancellation or termination terms agreed in writing. Clients remain responsible for payment for completed work, committed costs, active campaigns, third-party expenses, and work performed up to the termination date.
To the maximum extent permitted by law, ValueX Digital will not be liable for indirect, incidental, consequential, special, punitive, or loss-of-profit damages arising from website use, service engagement, third-party platform issues, delays, or business outcomes.
These Terms of Use are governed by the laws of India. Subject to applicable law, disputes will fall under the jurisdiction of the competent courts in Madhya Pradesh, India.
